These terms and conditions apply to your use of the Croxena website at croxenavad.pro and, where a separate engagement agreement has not been signed, to enquiries and consulting services provided by Croxena. Please read them with the same care you would give any professional agreement.

By using this website, you accept these terms. If you do not agree with any part of them, you are welcome to contact us before proceeding, and we will do our best to address your concern.

Croxena reserves the right to update these terms from time to time. The version published on this page at the time of your visit is the version that applies to that visit.

3. Consulting services

Nature of our work

Croxena provides business consulting services — which is to say, considered analysis, structured thinking, and written work in support of principals navigating difficult operating periods. Our work is advisory in nature. We do not provide legal advice, financial advice, or regulated professional services of any kind. Where your situation requires a licensed professional, we will tell you so.

The scope, deliverables, timing, and fees for any engagement are agreed in writing before work commences. In the absence of a separate engagement agreement, the terms set out here govern the relationship.

Fees and payment

Fees for each engagement are stated in Malaysian Ringgit (RM) and are quoted inclusive of applicable taxes unless otherwise stated. Payment terms are agreed at the outset of each engagement. Unless agreed otherwise, invoices are due within fourteen days of issue.

Croxena reserves the right to pause or suspend work where an invoice has remained unpaid for more than thirty days beyond its due date, after written notice to the client.

Cancellation and withdrawal

Either party may withdraw from an engagement in progress by providing written notice. Where Croxena has completed a portion of the agreed work, fees for that portion are payable on a pro-rated basis, calculated against the total fee and the work completed to the point of notice. Where the client has paid in advance, any balance for uncompleted work will be returned within thirty days of withdrawal.

Confidentiality

Information shared by a client in the course of an engagement is treated as confidential. Croxena will not disclose it to third parties except where required by law or with the client's explicit written agreement. We expect the same care with respect to any proprietary methods or materials we share during an engagement.

4. Intellectual property

Ownership of materials

The content on this website — including text, design, layout, and structure — is the property of Croxena or its content providers. You may read and reference it for your own purposes, but you may not reproduce, republish, or distribute it without our prior written permission.

Written deliverables produced in the course of an engagement (such as restoration notes and summaries) are provided for the client's use. Ownership of such deliverables passes to the client upon full payment of the applicable fee. Croxena retains the right to draw on the methodologies and frameworks used in producing them for future engagements, provided that no confidential client information is disclosed in doing so.

5. Limitation of liability

What we are responsible for

Croxena takes care to produce considered, accurate work. However, business conditions are complex and the outcomes of decisions rest ultimately with the principals making them. Our written work represents our best judgment at the time it is prepared, based on the information available to us. It does not constitute a prediction, a warranty, or a commitment to any particular outcome.

To the extent permitted by applicable Malaysian law, Croxena's liability in connection with any engagement is limited to the fees paid for that engagement. We do not accept liability for indirect, consequential, or speculative losses, or for the decisions of third parties.

Nothing in these terms limits liability where such limitation is not permitted by law — for instance, in cases of fraud or gross negligence.

6. Governing law

Jurisdiction

These terms are governed by the laws of Malaysia. Any dispute arising from the use of this website or from an engagement with Croxena will, in the first instance, be the subject of good-faith discussion between the parties. Where that does not resolve the matter, the courts of Malaysia will have jurisdiction.
